Terms and Conditions

1. Acceptance of terms

By accessing or using iamagentman.com (the "Site") or engaging I Am Agent Man ("we," "us," or "our") for AI agent development services (the "Services"), you agree to be bound by these Terms and Conditions. If you do not agree, do not use the Site or Services.

2. Description of services

I Am Agent Man provides AI agent development services, including but not limited to:

• Design, development, and deployment of autonomous AI agents.
• Free agent blueprint scoping sessions.
• Ongoing agent maintenance, monitoring, and optimization.
• Consultation on AI agent strategy and implementation.

Service-specific terms, deliverables, timelines, and pricing are defined in individual project agreements or statements of work (SOWs) agreed upon before work begins.

3. Free blueprint

We offer a free agent blueprint as an initial scoping exercise. This blueprint:

• Is provided at no cost and creates no binding obligation to engage our services.
• Includes a workflow analysis, agent design recommendation, and estimated scope.
• May reference proprietary methodologies and frameworks that remain our intellectual property.
• Does not constitute legal, financial, or technical advice.

4. Project agreements

All paid work is governed by a separate project agreement or statement of work that specifies:

• Scope of work and deliverables.
• Timeline and milestones.
• Payment terms and pricing.
• Acceptance criteria.
• Confidentiality and IP ownership terms.

In the event of a conflict between these Terms and a project agreement, the project agreement governs for that engagement.

5. Payment terms

• Invoices are due per the terms specified in the project agreement.
• Late payments may incur a 1.5% monthly interest charge after a 15-day grace period.
• We reserve the right to pause work if payment is overdue by more than 30 days.
• All prices are exclusive of applicable taxes unless stated otherwise.

6. Refunds and cancellation

Because engagements are scoped before they are paid for, most cancellations cost nothing. The rules below apply unless a signed project agreement says otherwise.

Free agent blueprint

There is nothing to refund — it is free, and it creates no obligation to continue. You may decline to proceed after receiving it, and you keep the blueprint.

Paid scoping engagement

• Cancel before we begin: refunded in full.
• Cancel while in progress: refunded pro rata for work not yet performed, invoiced for work already performed.
• After the scoping document is delivered: non-refundable, because the document is the deliverable and it is yours to keep and to build from — including with another vendor.
• If we fail to deliver the scoping document, or withdraw from the engagement ourselves: refunded in full.

Build engagements

• Either party may cancel at any time with written notice. There is no cancellation penalty and no minimum term.
• On cancellation you owe accepted milestones plus work performed since the last accepted milestone. Any prepaid amount beyond that is refunded within 14 days of the final invoice.
• Work delivered and paid for is yours, per section 7 — cancelling does not revoke your rights to it.
• If a delivered agent fails the acceptance criteria in the project agreement and we cannot correct it within the warranty period in section 9, you may reject that milestone and be refunded for it.

Ongoing run-and-monitor engagements

• Billed monthly and cancellable with 14 days' written notice; no notice period beyond that.
• Prepaid time in the cancelled month is refunded pro rata.
• On request at any point during or after the engagement, we hand over runbooks and configuration so your team can take the system over rather than re-buy it.

What is not refundable

• Business outcomes. We do not guarantee revenue, time-savings, or performance results (see section 9), so results falling short of your expectations is not a refundable event where the delivered work met the agreed acceptance criteria.
• Third-party costs already incurred on your behalf and with your approval — model API usage, hosting, licences — which are passed through at cost.

To request a cancellation or refund, email hello@iamagentman.com. We respond within 5 business days and process approved refunds by the original payment method within 14 days. If you believe an invoice is wrong, raise it with us before initiating a chargeback — it is faster to fix.

7. Intellectual property

Our IP

Our frameworks, methodologies, tools, templates, and general know-how remain our intellectual property. Nothing in these Terms or a project agreement transfers ownership of our underlying technology to you.

Your IP

Your data, business processes, and proprietary information remain yours. We do not claim ownership over your data or the specific workflows we automate.

Deliverables

Ownership of custom-developed agents and deliverables transfers to you upon full payment, as specified in the project agreement. Pre-existing components, libraries, and frameworks used in development remain our property, with a perpetual, irrevocable license granted to you for use in the delivered work.

8. Data and confidentiality

• We treat your business data, workflows, and proprietary information as confidential.
• We will not use your data for any purpose other than delivering the agreed services.
• We will not share your data with third parties except as necessary for service delivery (e.g., API integrations you authorize).
• By default, agents are self-hosted — your data stays in your infrastructure.
• Upon project completion or termination, we will delete your data within 30 days unless retention is agreed upon in writing.

9. Warranties and disclaimers

Our warranty

We warrant that the Services will be performed in a professional and workmanlike manner consistent with industry standards. If a delivered agent does not meet the acceptance criteria defined in the project agreement, we will correct the issue at no additional charge within the warranty period (typically 30 days post-delivery).

Disclaimers

EXCEPT AS EXPRESSLY STATED ABOVE, THE SITE AND SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. We do not guarantee specific business outcomes, revenue results, or performance metrics from AI agent deployments.

10. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, I AM AGENT MAN SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SITE OR SERVICES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, REGARDLESS OF WHETHER WE WERE ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Our total aggregate liability for any claims arising from these Terms or the Services shall not exceed the total amount paid by you to us in the 12 months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless I Am Agent Man, its founder, and its affiliates from any claims, losses, or damages (including legal fees) arising from: (a) your use of the Site or Services; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) your data or business operations.

12. Termination

• You may terminate a project engagement per the terms in the project agreement.
• We may terminate a project if payment is overdue by more than 45 days after written notice.
• Termination does not relieve you of payment obligations for work completed prior to termination.
• Provisions regarding IP, confidentiality, limitation of liability, and indemnification survive termination.

13. Governing law

These Terms are governed by the laws of the State of Texas, United States, without regard to conflict of law principles. Any disputes shall be resolved in the state or federal courts located in Austin, Texas.

14. Changes to these terms

We may update these Terms from time to time. We will post the updated Terms on this page with a revised "Last updated" date. Material changes will be communicated via email to active clients. Continued use of the Site or Services after changes constitutes acceptance.
